Terms of Service
Last updated: 30 October 2026
1. Purpose and acceptance
These Terms govern the use of Spen, the artificial intelligence assistant provided by Mazinger Ventures, S.L. ("Mazinger", "we"), Tax ID B55061451, registered office at Avinguda de Perpinyà, 31, 17600 Figueres (Girona), Spain.
By signing up, ticking the acceptance box or using Spen, you accept these Terms. If you contract on behalf of a company, you represent that you have authority to bind it. If you do not agree, do not use Spen.
If you have signed a proposal, order form or specific agreement with Mazinger ("Specific Agreement"), it prevails over these Terms to the extent of any conflict.
2. Definitions
- Customer: the individual or legal entity that subscribes to Spen.
- Business Customer: a Customer acting for purposes related to its trade, business or profession.
- Consumer: a Customer who is an individual acting for purposes outside their trade, business, craft or profession.
- User: each person authorized by the Customer to use Spen (for example, a Business Customer's employees). A Consumer is both Customer and User.
- Integrations: third-party tools the User connects to Spen (email, calendar, CRM, messaging, storage, invoicing, etc.).
- Channels: the messaging apps through which the User communicates with Spen (WhatsApp, Slack, Microsoft Teams, Telegram, SMS or others).
- Customer Content: data, messages, files, instructions and other information the User sends to Spen or that Spen accesses through Integrations.
- Outputs: texts, drafts, summaries, reports, classifications and other content Spen generates for the User.
- Routines: recurring or automated tasks Spen performs according to the User's configuration.
3. The service and deployment options
Spen is an AI assistant that, with the User's authorization, reads, summarizes, drafts, organizes and updates information in the User's Integrations, and communicates with the User through Channels.
Spen is offered in three deployment options:
- Spen Cloud: managed by Mazinger, with data stored in the European Union.
- Private cloud: deployed in the Customer's cloud account (AWS, Azure or GCP).
- Self-hosted: installed on the Customer's own infrastructure.
Private cloud and self-hosted deployments are also governed by their Specific Agreement, which covers the license, installation, support and allocation of responsibilities for the infrastructure and models chosen by the Customer.
4. Registration and account
- You must be at least 18 years old and legally able to enter into contracts.
- You must provide accurate information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity carried out from your account and Channels. If you detect unauthorized use, notify security@spen.ai immediately.
- In Business Customer accounts, the Customer appoints administrators who manage Users, permissions and Integrations, and is responsible for its Users' use of Spen.
5. Third-party Integrations and Channels
- Spen only accesses the Integrations the User authorizes, with the permissions granted. The User can revoke access at any time from Spen or from the tool itself.
- Integrations and Channels are third-party services subject to their own terms and policies, which the User must comply with. Mazinger does not control those services and is not responsible for their availability, changes or decisions (for example, restricting or suspending an account or an API).
- If a third party changes its terms or stops allowing an integration, Mazinger may restrict or withdraw that Integration or Channel, with as much notice as reasonably possible.
6. How the AI works and human oversight
- Spen is an artificial intelligence system. When you interact with Spen, you are interacting with an AI, not a person.
- Outputs are generated automatically using third-party and proprietary AI models. They may contain errors, omissions or outdated information and may not be unique. The User must review them before using or sending them.
- By default, Spen asks for the User's approval before sending communications to third parties or creating or modifying information in Integrations. If the User configures a Routine to act without prior approval, the User takes responsibility for actions carried out under that configuration.
- Spen acts on the User's instructions and on the User's behalf. The User is responsible for the communications they approve or automate and for their content.
- Outputs are not legal, tax, financial, medical or any other professional advice. Decisions with significant effects must be made by people.
7. Customer Content and Outputs
- The Customer retains all rights to Customer Content. Mazinger acquires no ownership of it.
- The Customer grants Mazinger a non-exclusive, limited, revocable license to process Customer Content solely to provide, maintain, secure and support Spen, in accordance with the Privacy Policy and, where applicable, the Data Processing Agreement.
- Mazinger does not use Customer Content or Outputs to train AI models, and does not allow its model providers to do so.
- To the extent permitted by law, rights in Outputs belong to the Customer. The Customer warrants that it is entitled to provide Customer Content and that its processing by Spen does not infringe third-party rights.
8. Prices and payment
- Business Customers: price, payment terms and duration are set out in the proposal or Specific Agreement. Unless otherwise agreed, invoices are payable within 30 days of issue and amounts exclude taxes.
- Consumers: before subscribing, you are informed of the total price including taxes, billing frequency and duration.
- Subscriptions renew automatically for equal periods unless cancelled before the renewal date. You can cancel from your account or by writing to billing@spen.ai.
- Mazinger may change prices with at least 30 days' notice. The new price applies from the next renewal; if you do not accept it, you may cancel before that date at no cost.
- Non-payment may lead to suspension of the service after at least 10 days' notice.
9. Right of withdrawal (Consumers only)
- If you are a Consumer, you may withdraw from the contract within 14 calendar days of its conclusion, without giving any reason and without penalty, under Spanish Royal Legislative Decree 1/2007 (TRLGDCU).
- To exercise it, send an unequivocal statement to legal@spen.ai or use the withdrawal form available in your account. We will refund the amounts paid within 14 days at the latest, using the same payment method.
- If you expressly request that the service start during the withdrawal period and then withdraw, you must pay an amount proportionate to the service provided up to that point.
- Model withdrawal form: "To Mazinger Ventures, S.L., Avinguda de Perpinyà, 31, 17600 Figueres (Girona), Spain, legal@spen.ai: I hereby give notice that I withdraw from my contract for the Spen service, entered into on ________. Name: ________. Account email: ________. Date: ________."
10. Statutory guarantees (Consumers)
If you are a Consumer, you retain all rights granted by consumer protection law regarding the conformity of digital content and services. Nothing in these Terms limits those rights.
11. Availability, support and changes
- Mazinger uses reasonable efforts to keep Spen available and secure but does not guarantee uninterrupted or error-free operation. Service levels (SLAs) apply only if agreed in a Specific Agreement.
- We may carry out scheduled maintenance, notified in advance where reasonable.
- Spen evolves: we may add, modify or withdraw features, Integrations or AI models. If a change materially reduces the contracted service, we will give 30 days' notice and you may terminate and receive a pro-rata refund of the prepaid unused period.
- Support: by email at support@spen.ai.
12. Acceptable use
Use of Spen must comply with the Acceptable Use and AI Policy, which forms part of these Terms.
13. Spen's intellectual property
Spen, its software, proprietary models, predefined Routines, interfaces, documentation, trademarks and other elements belong to Mazinger or its licensors. These Terms grant only a non-exclusive, non-transferable right of use limited to the term of the contract. You may not decompile, copy, resell or build competing services from Spen, except as permitted by law.
If you send us suggestions or feedback, we may use them to improve Spen without any obligation to compensate you.
14. Confidentiality (Business Customers)
Each party shall keep confidential the other's non-public information received in connection with the contract and use it only to perform the contract. This obligation lasts for the term of the contract and 3 years thereafter, except for trade secrets, which remain protected for as long as they retain that status.
15. Data protection
The processing of personal data is governed by the Privacy Policy. Where Spen processes personal data on behalf of a Business Customer, the Data Processing Agreement applies and forms part of these Terms.
16. Limitation of liability
- Business Customers: Mazinger's total liability under the contract is limited to the amount paid by the Customer in the 12 months preceding the event giving rise to the claim. Mazinger is not liable for loss of profits, loss of business, loss of data attributable to the Customer's failure to keep backups, or indirect damages.
- Mazinger is not liable for damages caused by Outputs the User approved or automated without review, by use contrary to these Terms, or by failures of Integrations, Channels or third-party providers beyond its reasonable control.
- These limitations do not apply in cases of wilful misconduct or gross negligence, or to personal injury.
- Consumers: none of the above limits Mazinger's liability to the extent consumer protection law does not allow it.
17. Indemnity (Business Customers)
The Business Customer shall hold Mazinger harmless against third-party claims arising from Customer Content, from communications its Users approve or automate, or from breach of these Terms.
18. Term, suspension and termination
- The contract lasts for the subscribed period and renews as set out in section 8.
- You may close your account at any time. Closure takes effect at the end of the current billing period, without prejudice to the right of withdrawal.
- Mazinger may suspend or terminate an account, with prior notice except in urgent cases, for serious breach of these Terms, risk to the security of Spen or third parties, non-payment or legal obligation.
- After termination, the Customer has 30 days to export its Content. Mazinger will then delete it in accordance with the Privacy Policy, except where retention is legally required.
19. Changes to these Terms
We may amend these Terms to reflect legal, security or service changes. Material changes will be notified by email or within Spen at least 30 days in advance. If you do not agree, you may terminate the contract before they take effect at no cost.
20. Governing law, jurisdiction and complaints
- These Terms are governed by Spanish law.
- Business Customers: the parties submit to the courts of Barcelona.
- Consumers: the courts of your place of residence have jurisdiction. You may submit complaints to legal@spen.ai; we will respond as soon as possible and within one month at the latest. You may also contact the consumer authorities of your region.
21. General provisions
If any clause is held invalid, the rest remain in force. Failure to exercise a right does not constitute a waiver. The Customer may not assign the contract without Mazinger's consent; Mazinger may assign it to a group company or in the event of a reorganization or transfer of the business, informing the Customer. These Terms are available in Spanish and English; in case of discrepancy the Spanish version prevails, unless the Consumer contracted in English.
